The SUBWAY® Restaurants Your Ticket To Fresh: Monsters University Promotion ("Promotion") is sponsored by Subway Franchisee Advertising Fund Trust Ltd. ("SFAFT" or "Sponsor"), 325 Bic Drive, Milford, CT 06461.

  1. PROMOTION PERIOD AND BRIEF OVERVIEW: The Promotion starts on June 1, 2013 at 12:00 AM (midnight) Eastern Time ("ET") and ends on July 17, 2013 at 11:59:59 PM ET OR while Codes (as defined below) last ("Promotion Period"). Sponsor's clock is the official clock of the Promotion. To participate in the Promotion, eligible Entrants (defined below) submit a unique SUBWAY® code ("Code[s]"), which can be obtained either by purchasing a SUBWAY FRESH FIT FOR KIDS™ meal or by mail, without purchasing, as is described in Rule 3(2) below. Entrants must agree to and comply with these Official Rules.
  2. ELIGIBILITY: This Promotion is open only to eligible legal residents of the 50 United States and the District of Columbia who at the time of registration are: (i) physically located in the 50 United States, the District of Columbia and (ii) at least 18 years of age (each, an "Entrant"). Employees, officers, directors, and agents of Sponsor, SUBWAY® restaurants, Doctor's Associates Inc. ("DAI"), Franchise World Headquarters, LLC ("FWH"), Prize Logic, LLC ("PrizeLogic"), b. little and co., Inc., Disney Enterprises, Inc., Quantum Loyalty Solutions d/b/a Hollywood Movie Money ("QLS"), and each of their affiliates, subsidiaries, suppliers, advertising, promotion and internet agencies (collectively, "Promotion Entities") and their immediate family members and/or those living in the same household of each (whether related or not) are not eligible. All federal, state, and local laws and regulations apply. Void in Puerto Rico, all United States Territories and Possessions, and where prohibited or restricted by law.

    There are two (2) ways to obtain a Code to enter the Promotion:

    1) Purchase Method: During the Promotion Period, promotion inserts will be available inside SUBWAY FRESH FIT FOR KIDS™ meals (each, a "Promotion Insert"), while supplies last. The Code required for Entry into the Promotion will be printed on the Promotion Insert.

    2) Non-Purchase Method: Between June 1, 2013 and July 17, 2013, an Entrant can obtain a Code, without purchasing a SUBWAY FRESH FIT FOR KIDS™ meal, by legibly writing his/her name, complete street address, and valid email address on a properly stamped 3 1/2" x 5" postal card and mailing it, postmarked no later than July 17, 2013 and received by July 25, 2013, to: SUBWAY® Restaurants Your Ticket To Fresh: Monsters University Promotion Code Request, P.O. Box 251328, West Bloomfield, MI 48325. A Code will be mailed or emailed back to the Entrant, which he/she may use to participate in the Promotion, while supplies last. REGARDLESS OF WHEN CODES ARE EMAILED BACK TO ENTRANT, ENTRANT MAY NOT ENTER THE CODES BEFORE June 1, 2013. Limit of up to sixty-one (61) Code requests per Entrant during the Promotion Period. Limit one (1) Code request per stamped 3 1/2" x 5" postal card. NOTE: Mail-in requests that are sent in an envelope rather than being written and sent on a properly stamped 3 1/2"x 5" postal card will not be processed and will not be eligible to receive Codes.
  4. HOW TO ENTER THE PROMOTION AFTER OBTAINING A CODE: Between June 1, 2013 at 12:00 AM (midnight) ET and July 31, 2013 at 11:59:59 PM ET, once an Entrant has obtained a Code, the Entrant must visit (the "Page") where they can register for the Promotion by entering and submitting the required registration information, including without limitation the Entrant's Code and email address (each, an "Entry"). Limit one (1) Entry per Entrant per day. No Code may be used more than once throughout the entire Promotion Period regardless of the type of Code or method of participation. Codes not entered by July 31 2013 at 11:59:59 PM ET will expire and will be void.

    After submitting Entry, Entrant will be sent an email message informing him/her of whether or not he/she has won a Prize, subject to verification of Code, eligibility and compliance with these Official Rules as determined by Sponsor, whose decisions are final and binding in all matters pertaining to this Promotion. Entrants should make sure to check their email because if they are a potential Prize Winner, they will receive an email informing them how to claim their Prize. Entrants should check their spam filters routinely to assure that Promotion email messages have not been caught in Entrant's filter. Remember: Each time an Entrant enters the Promotion, Entrant must enter a new Code to receive an Entry. Limit one (1) email address per Entrant throughout the Promotion Period. If it is discovered that an Entrant has registered or attempted to register using multiple e-mail addresses, or multiple identities, all of the Entrant's Entries will be declared null and void in Sponsor's sole and absolute discretion, and any Prize he/she might have been entitled to will not be awarded.

    A "day" is defined as commencing at 12:00 AM ET and ending at 11:59:59 PM ET each calendar day during the Promotion Period.

    A. Prizes (264,480): Two Hundred Sixty-Four Thousand Four Hundred Eighty (264,480) Prizes will be made available to be awarded in the Promotion. The Prize consists of a Hollywood Movie Money® Certificate issued by QLS and redeemable for one (1) child's admission (up to a $8.50 value) to see Disney's Monsters University (the "Certificate" or "Prize") at participating theaters. No more than five (5) Certificates will be awarded per household. Certificate can be redeemed only at a participating theater through July 31, 2013 (by 11:59:59 PM ET) or while Disney's Monsters University is still in theaters, whichever is sooner. Prize Winner must comply with the terms and conditions specified by QLS. A list of participating theaters can be accessed at: by entering Promo Code 39280 along with ZIP Code. Certificates are not redeemable for any other film. Any Certificate not used by the date noted on the Certificate will be void. Any amount remaining on any Certificate after initial use will be forfeited. Any costs for a child's admission exceeding $8.50 will be the sole responsibility of the Prize Winner.

    B. Odds of Winning: There will be a total of Six Million Six Hundred Twelve Thousand (6,612,000) Codes created for the Promotion. Two Hundred Sixty-Four Thousand Four Hundred Eighty (264,480) of those Codes are pre-determined winning Codes that provide Entrants with a Certificate as defined above. Thus, an Entrant has a one out of twenty five (1:25) chance of winning a Certificate for each Code he/she uses to enter the Promotion. IMPORTANT: As stated above, regardless of the method used to receive a Code or submit an Entry, all Codes may only be used once throughout the Promotion Period, and each Entrant may only enter one (1) Code each day.

    C. ARV: The Maximum ARV of each Certificate is Eight Dollars and Fifty Cents ($8.50). The maximum total ARV of all Certificates available to be awarded in the Promotion is Two Million Two Hundred Forty-Eight Thousand Eighty Dollars ($2,248,080).
  6. HOW TO CLAIM A CERTIFICATE: Certificate awards are subject to verification of eligibility and compliance with the terms of these Official Rules. Following verification, each potential Prize Winner will receive an e-mail, sent to the e-mail address provided at the time of Entry, which will include a link directing the potential Prize Winner to the redemption website ("Redemption Website"). At the Redemption Website, the potential Prize Winner must follow the directions to enter the name of the individual who will use the Certificate and to print the Certificate. Note: the Certificate may only be redeemed by the individual whose name appears on the Certificate. Certificate must be redeemed by July 31, 2013 or by the last day that Disney's Monsters University is playing in theaters, whichever comes first. Sponsor reserves the right, in its sole discretion, to substitute a Prize of comparable or greater value, at its sole discretion. Prizes are not redeemable for cash, nor are they transferrable. Prizes cannot be substituted by Prize Winners. Unclaimed Prizes will not be awarded. Federal, state, and local taxes imposed on the acceptance of a Prize are solely the responsibility of the Prize Winner. No substitutions, cash equivalents or transfers of the Prize permitted by the Prize Winner. All other costs and expenses not expressly set forth herein shall be solely the Prize Winner's responsibility. Prizes that are not awarded due to failure of eligibility verification or other reasons beyond the reasonable control of Sponsor will not be re-awarded. Applicable taxes, as well as any other costs and expenses associated with Prize acceptance and use not specified herein as being provided are solely the responsibility of the Prize Winner. LIMITATIONS OF LIABILITY/INTERNET: Promotion Entities are not responsible for illegible, lost, late, incomplete, inaccurate, delayed, stolen, misdirected, postage due, or undeliverable Promotion Inserts, Codes, email, Certificates or postal mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the processing of Code requests, Codes, Entries or Prize claims, the announcement of the Prizes or in any Promotion-related materials. Promotion Entities are not responsible for any typographical, technical, technological, mechanical or factual errors, incorrect or inaccurate information, whether caused by any website users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical, technological, mechanical or factual error, theft or destruction or unauthorized access to any website(s). Additionally, Promotion Entities bear no liability for acts of force majeure or other acts which interfere with the intended proper administration, operation and fulfillment of this Promotion. Promotion Entities are not responsible for any injury or damage, whether personal or property, to Entrants' or to any person's computer related to or resulting from participating in this Promotion. Any Promotion Insert, Code, or Certificate that is defaced, mutilated, forged, illegible, altered, tampered with, mechanically reproduced, contains printing or other errors or that is not legitimately obtained is void. In no event will more Prizes be awarded in any portion of this Promotion than are stated in these Official Rules. In the event of any technical, technological, mechanical, factual or other error resulting in more potential Prize Winners than are stated or intended in these Official Rules, a random drawing will be held among the claimants to award the number of Prizes as stated in these Official Rules.   8. PRIVACY / USE OF PERSONAL INFORMATION: QLS and/or PrizeLogic, may gather Personal Information provided by Entrant online and offline. Personal Information may include, but is not limited to: name (full name or first initial and last name), maiden name, nickname, email address, home address, home postal code, home telephone number, mobile telephone number, date of birth, Social Security Number and/or Identification Number, photographic images (especially of face or other identifying characteristic, i.e. tattoo's), video or voice recording. This information is only collected when volunteered by Entrant. By participating in the Promotion, QLS and PrizeLogic feel that Entrant should know how QLS and PrizeLogic collects, protects, uses, and shares Entrants Personal Information. PUBLICITY RIGHTS: By accepting a Prize, each Prize Winner grants and agrees to grant Sponsor and/or Sponsor's designee the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation, except where prohibited by law.

RELEASE: By participating in the Promotion, each Entrant releases and agrees to indemnify and hold harmless Promotion Entities, from and against any and all claims, demands, causes of action, or suits, and all associated costs, damages, liabilities, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, acceptance or usage of a Prize, or arising out of participation in any Promotion or Prize related activity, whether hosted by Sponsor or a third party.
  11. GENERAL/DISPUTES By entering this Promotion, Entrants agree to abide by these Official Rules as stated herein and the decisions of Sponsor and/or PrizeLogic, which are final and binding in all matters pertaining to this Promotion. Except where prohibited, by participating in the Promotion, Entrants agree that the Promotion is governed by, and will be construed in accordance with, the laws of the State of Connecticut, and the forum and venue for any dispute shall be in New Haven County, Connecticut. If the controversy or claim is not otherwise resolved through direct discussions or mediation, it shall then be resolved by final and binding arbitration administered by the American Arbitration Association, in accordance with its Arbitration Rules and Procedures or subsequent versions thereof ("AAA Rules"). The AAA Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be experienced and licensed to practice law in the State of Connecticut.     All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant, Entrant and/or Sponsor shall be governed by and construed in accordance with the laws of the State of Connecticut without reference to conflict of laws principles.

MISCELLANEOUS: Participation in this Promotion constitutes Entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to this Promotion. Winning a Prize is contingent upon fulfilling all requirements set forth herein. These Official Rules form a binding legal agreement between the Entrant and the Sponsor with respect to the Promotion. In the event of a dispute as to the identity of a Prize Winner based on an email address, the winning Entry will be declared made by the authorized account holder of the email address submitted at time of entry and he/she must comply with these Official Rules. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. In the case of an individually-owned domain, the owner of the domain name will be deemed the "authorized account holder." Sponsor reserves the right, to disqualify any individual found, in its sole opinion, to be tampering or attempting to tamper with the operation of the Promotion; to be acting in violation of these Official Rules; to be acting with the intent to disrupt the normal operation of this Promotion; or to be otherwise acting in an unsportsmanlike manner. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that term. When terms such as "may" are used in these Official Rules, Sponsor has sole and absolute discretion. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy or terms of use on the Page and/or the terms and conditions of the Official Rules, the Official Rules as stated on this Page shall prevail, govern and control and the discrepancy will be resolved in Sponsor's sole and absolute discretion.
